Part A: End-User & Corporate Client Terms

1. Acceptance and Electronic Contracting

By downloading, installing, activating, or using the VaultNX software, or by completing a purchase via our checkout, you agree to be bound by these Terms pursuant to the Electronic Transactions Act No. 19 of 2006 (as amended by Act No. 25 of 2017) of Sri Lanka. If you do not agree, do not install or use the software.

2. Software License Grant and Seat Limits

Subject to the timely payment of applicable fees, Active Solutions grants you a non-exclusive, non-transferable, non-sublicensable license to run VaultNX solely for your internal personal or business data protection, limited strictly to the seat tier purchased:

• Single User License: 1 concurrent installation ("Seat") on a single physical machine under your exclusive control.
• Team / Business License (5–49 Seats): Concurrently deployed up to the purchased seat quota within your single organization.
• Enterprise License (50+ Seats): Multi-seat deployment across your corporate legal entity via managed distribution tooling.

A "Seat" represents one installation of the software running on one machine under one Windows user profile.

3. Hardware Fingerprinting & Machine Transfers

To prevent license piracy and unauthorized duplication, VaultNX generates an anonymous hardware fingerprint (derived from machine UUID, CPU, and motherboard hardware identifiers). Your license is cryptographically bound to that machine via our licensing server (lic.vaultnx.com). Licensees are permitted a maximum of two (2) machine deactivations/transfers per 12-month period via the in-app license release utility. Additional transfers require written approval from support@vaultnx.com.

5. Digital Delivery & Payment Processing

Orders placed on our website are fulfilled immediately upon digital payment confirmation through our integrated Sri Lankan payment processor. Customers receive their alphanumeric license key(s) and a cryptographically signed PDF license certificate via email within minutes. Under the Consumer Affairs Authority Act No. 9 of 2003 and electronic commerce regulations, you acknowledge that performance begins immediately upon key dispatch.

6. Restrictions and Prohibited Use

You agree not to, directly or indirectly:

• Decompile, disassemble, reverse engineer, or attempt to derive the source code of VaultNX, its service layer, or its network licensing protocol;
• Probe, tamper with, intercept, or forge cryptographic ECDSA signatures generated by lic.vaultnx.com;
• Publish, resell, lease, rent, or distribute license keys on public repositories, forums, or unauthorized marketplaces;
• Use the software in any manner that contravenes the Computer Crimes Act No. 24 of 2007 of Sri Lanka.

7. Limitation of Liability

To the maximum extent permitted by Sri Lankan law, Active Solutions disclaims all incidental, indirect, consequential, or punitive damages (including loss of business profits, business interruption, or loss of stored data). In no event shall Active Solutions' aggregate liability arising out of this Agreement exceed the actual amount paid by you for the specific software license in the twelve (12) months preceding the claim.

Part B: Reseller & Channel Partner Terms

8. Appointment and Eligibility

Authorized Partners and Resellers ("Partners") who complete onboarding through partner.vaultnx.com or the public partner portal are granted a non-exclusive right to market and distribute VaultNX commercial licenses to end-clients within authorized territories.

9. Point-of-Purchase Discount Structure

Partners are granted a negotiated wholesale discount applied directly at the point of purchase or key issuance against prevailing retail seat tier pricing. Wholesale discounts are non-transferable and may be reviewed or adjusted by Active Solutions based on annual volume commitments.

11. Reseller Obligations & End-Client Onboarding

Resellers agree to:

• Accurately inform end-clients of the system requirements, zero-knowledge architecture, and data loss warnings detailed in Part A;
• Deliver original, untampered VaultNX installation binaries and official PDF license certificates issued by Active Solutions;
• Not make any representations, warranties, or guarantees on behalf of Active Solutions that exceed those stated in these Terms.

12. Termination and Residual Advance Funds

Either party may terminate the Reseller partnership upon thirty (30) days' written notice. In the event of termination, any unallocated, unspent advance funds held under the Reseller's name will be reconciled and refunded in accordance with Section 7 of the VaultNX Refund Policy.

13. Governing Law and Arbitration

These Terms and Conditions are governed by and construed in accordance with the substantive laws of the Democratic Socialist Republic of Sri Lanka. Any dispute, controversy, or claim arising out of or relating to this contract, including its formation, validity, breach, or termination, shall be settled in accordance with the VaultNX Dispute Policy via formal proceedings in Colombo, Sri Lanka.
